Data Privacy and Confidentiality Agreement

Takahashi English Coach

This Data Privacy and Confidentiality Agreement (“Agreement”) sets forth the obligations of Takahashi English Coach (“Service Provider”) with respect to the handling of information disclosed by the client (“Client”) in the course of coaching sessions and related communications.

1. Confidential Information

For purposes of this Agreement, “Confidential Information” means any and all information, whether written, oral, electronic, or otherwise recorded, disclosed by the Client to the Service Provider in connection with coaching services, including but not limited to business strategies, organizational matters, personal data, and professional communications.

2. Non-Disclosure Obligation

The Service Provider shall:
a. Maintain all Confidential Information in strict confidence;
b. Not disclose Confidential Information to any third party without the Client’s prior written consent; and
c. Not use Confidential Information for any purpose other than the performance of coaching services for the Client.

3. Data Protection

The Service Provider shall implement reasonable administrative, technical, and physical safeguards to protect Confidential Information against unauthorized access, disclosure, alteration, or destruction.

4. Exceptions

The obligations set forth in Section 2 shall not apply to information that:
a. Is or becomes publicly available through no fault of the Service Provider;
b. Was lawfully in the possession of the Service Provider prior to disclosure by the Client;
c. Is independently developed by the Service Provider without reference to the Client’s Confidential Information; or
d. Must be disclosed pursuant to applicable law, regulation, or valid legal process, provided that, where legally permissible, the Service Provider shall give the Client prompt notice of such requirement prior to disclosure.

5. Duration of Obligation

The confidentiality obligations set forth in this Agreement shall survive the termination of the coaching engagement and remain in effect for a period of one (1) year following the date of disclosure of the Confidential Information, unless otherwise agreed in writing.

6. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law principles.

7. Entire Agreement

This Agreement constitutes the entire understanding between the Client and the Service Provider with respect to the confidentiality of information and supersedes all prior agreements, whether oral or written, relating thereto.
